1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," "your") and LinguDeep ("Company," "we," "us," "our"), governing your access to and use of the LinguDeep website at lingudeep.com, our mobile application, and all associated language translation services, content, features, and functionalities (collectively, the "Service").

By accessing, registering for, or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Eligibility and Account Registration

  • You must be at least 13 years of age (or the minimum age of digital consent in your country) to use the Service. If you are under 18, you confirm you have your parent or guardian's permission to use the Service and that they have read and agree to these Terms.

  • You must provide accurate, complete, and current registration information. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

  • You agree to notify us immediately of any unauthorized access or use of your account.

3. Description of Service & Subscription Plans

LinguDeep provides an interactive platform for language translations, which may include lessons, exercises, quizzes, speech recognition, and other educational content.

  • Free Plan: We offer a free, limited-feature plan for personal, non-commercial use. We reserve the right to modify the features available in the Free Plan at any time.

  • Paid Subscription Plans: We offer auto-renewing subscription plans with access to premium features, billed on a monthly or yearly basis. Full details of plan features and pricing are displayed on our website and app.

  • Trials: We may offer free trial periods for paid plans. You may be required to provide payment information to begin a trial. Unless you cancel before the trial ends, you will be automatically charged the subscription fee for the chosen plan when the trial expires.

4. Billing and Renewal

  • Payment: You agree to pay all fees for Paid Plans in accordance with the pricing and payment terms presented to you. Fees are non-refundable except as explicitly stated in our [Refund Policy](link to your Refund Policy).

  • Auto-Renewal: Subscriptions automatically renew at the end of each billing period (month or year) until you cancel. You authorize us to charge the then-applicable fee to your designated payment method.

  • Price Changes: We reserve the right to change subscription fees. We will provide you with reasonable notice (e.g., via email or in-app notification) of any such change. Your continued use of the Service after the price change becomes effective constitutes your agreement to pay the new amount.

  • Cancellation: You may cancel the auto-renewal of your subscription at any time through your account settings or via your device's app store. Cancellation will take effect at the end of your current billing period. No refunds are provided for partial months or years.

5. User Conduct and Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights.

  • Use any automated system (bot, scraper, spider) to access, monitor, or copy any part of the Service.

  • Interfere with or disrupt the integrity or performance of the Service.

  • Attempt to gain unauthorized access to any part of the Service, other accounts, or our systems.

  • Share, sell, rent, lease, or otherwise transfer your account access to any third party.

  • Use the Service for any commercial purpose without our express written consent.

  • Upload or transmit any malicious code, viruses, or harmful content.

6. Intellectual Property Rights

  • Our Rights: The Service, including its entire contents, features, functionality, software, design, logos, trademarks, and all related intellectual property, is owned by LinguDeep or its licensors and is protected by copyright, trademark, and other laws.

  • License to You: Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use. No right, title, or interest is transferred to you.

  • User Content: You retain ownership of any text, audio recordings, or other content you submit to the Service ("User Content"). By submitting User Content, you grant us a worldwide, royalty-free, sublicensable license to use, host, store, reproduce, modify, and display that User Content solely to the extent necessary to operate, improve, and provide the Service to you.

7. Disclaimers of Warranty

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. LINGUDEEP EXPLICITLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL LINGUDEEP, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, DATA, OR USE, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO LINGUDEEP IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED U.S. DOLLARS (USD $100), WHICHEVER IS GREATER.

9. Indemnification

You agree to defend, indemnify, and hold harmless LinguDeep and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these Terms; or (c) your violation of any third-party right, including intellectual property or privacy rights.

10. Termination

We may suspend or terminate your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service ceases immediately. All provisions of these Terms which by their nature should survive termination shall survive.

11. Governing Law and Dispute Resolution
